The Supreme Court Investigates Nvidia Fraud Allegations

The U.S. Supreme Court is currently considering a 2018 securities fraud case alleging that Nvidia misled investors about the percentage of its cryptocurrency sales revenues. The main issue in this case is whether the plaintiffs might have filed such claims in accordance with the strict legal guidelines established by the Private Securities Litigation Reform Act (PSLRA) of 1995.

Nvidia argues that the lawsuit’s allegations of deliberate deception or negligence are not sufficiently supported by the evidence. However, the plaintiffs contend that they have assembled reliable claims, based on first-hand recollections from former employees, professional judgments, and market data.

Justice Ketanji Brown Jackson expressed concerns that Nvidia’s proposed legal standard would make it too difficult for plaintiffs to bring evidence early in the case, given that such material is sometimes uncovered at a later period of litigation.

The lawsuit alleges that in 2017 and 2018, Nvidia minimized its dependence on cryptocurrency mining revenue. Nvidia’s revenue was lower than expected during the 2018 cryptocurrency market crash, which resulted in a decline in the company’s stock price and losses for investors.

The Ninth Circuit Court of Appeals previously reinstated the case, determining that Nvidia’s CEO, Jensen Huang, knowingly made misleading statements. In response, Nvidia has petitioned the Supreme Court, arguing that the claims are speculative.

With findings anticipated by June, this case and another comparable one involving Meta (Facebook) may influence future decisions regarding corporate liability for securities fraud. Notably, Nvidia settled related claims with U.S. regulators in 2022 for $5.5 million without acknowledging any wrongdoing.
